Do you have any concept of how a company works? Of course the stock holder has a huge amount of power. Most however, never contest anything as long as there is profit or dividends. Ford, GM and Chrysler owners were lazy and didn't care until they were in trouble. The sign the proxy and fail to understand their responsibilities as an owner.-

Yes, stockholders own the company. But there are millions of shares of stock in most companies, and usually a voting majority is held by a handful of people, giving them total control of how the company's run.

And what percentage of stockholders do you think actually go to their meetings? Most small shareholders don't even bother to send their proxies. Who gets their vote in those cases?
But aside from that, have you read a proxy statement? Do you know who writes them? There is no way to galvanize the votes of shareholders who oppose the board than to let them know what the opposition would like to do, and it's expensive and difficult for them to do that.
